Terms of Service

Last updated October 14, 2026

These terms govern your use of Draxl (the “Service”), provided by IM Management LLC (“Draxl”, “we”). By creating an account or using the Service you agree to them on behalf of yourself and the practice or firm you represent (“you”).

1. What Draxl does, and doesn't do

Draxl prepares drafts and flags for review: summaries, indexes, redactions, response packages, deadlines, billing narratives and similar work product. Draxl does not provide legal advice, legal opinions or legal judgment, and is not a law firm. Every output is a draft until an attorney at your practice reviews and approves it. You and your attorneys are solely responsible for reviewing outputs, for any work product you finalize, file, produce or send, and for complying with the rules of professional conduct that apply to you.

2. Accounts

You must be authorized to bind your practice. Keep sign-in credentials secure and tell us promptly about any unauthorized use. You are responsible for the people you add to your account and the roles you give them.

3. Subscriptions, trials and billing

Paid plans are billed in advance, monthly or yearly, through our payment processor, Stripe. Free trials convert to the paid plan you selected at the end of the trial unless you cancel before then. Seat-based plans are billed for active seats, subject to any plan minimum, and seat or plan changes are prorated. You can cancel anytime from the Subscription page; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. Prices exclude taxes, which are added where applicable. We may change prices with at least 30 days' notice, effective at your next renewal.

4. Your data

You own the documents, matter information and other content you upload (“Customer Data”). You grant us only the rights needed to host, process and display Customer Data to provide the Service to you. We keep Customer Data confidential, separate it from other customers' data, and never use it to train AI models or sell it. Our handling of personal information is described in the Privacy Policy, and our use of AI in the AI Use Policy. You are responsible for having the right to upload Customer Data, including any client consents your rules require.

5. Acceptable use

Don't use the Service to break the law or the rules of professional conduct; to upload malware; to probe, overload or bypass the Service's security or usage limits; to access another customer's data; or to resell the Service without our written agreement. Plans include monthly AI allowances; above them Draxl continues on its built-in rules engine.

6. Availability and changes

We work to keep the Service available and secure, and may improve or change features over time. If we remove a material feature you pay for, you may cancel and receive a prorated refund of prepaid fees for it.

7. Termination and export

You may stop using the Service at any time. We may suspend or end access for non-payment or a material breach of these terms after notice where practical. After your subscription ends you have 30 days to request an export of your Customer Data, after which we delete it from active systems, except data under a legal hold you placed or that we must keep by law.

8. Disclaimers

The Service and its outputs are provided “as is”. AI-assisted outputs can be incomplete or wrong, which is why every output requires attorney review. To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, and each party's total liability under these terms is limited to the fees you paid in the 12 months before the claim. These limits don't apply to your payment obligations or to either party's breach of confidentiality obligations.

10. General

These terms are governed by the laws of the state in which IM Management LLC is organized, excluding conflict-of-laws rules. A signed agreement with your firm takes precedence over these terms where they conflict. We may update these terms; material changes take effect 30 days after notice.
